Randall B. Hale FOUNDER, MANAGING DIRECTOR
Mr. Hale founded Rock Hill Capital Group and serves as its Managing
Director. Mr. Hale is responsible for managing all aspects of the
investment activities of the Fund including fund raising, deal sourcing
and investment management of portfolio companies.
Prior to
founding Rock Hill, Mr. Hale served as an Executive Vice President
and Director of Equus Capital Management Corporation ("Equus")
for ten years. Equus, located in Houston, Texas, has served as the
investment advisor to several private equity funds including Equus
II Incorporated (NYSE Symbol: EQS). As a principal investment officer
for Equus, Mr. Hale negotiated and executed multiple purchase and
sale transactions involving public and private companies. Prior
to joining Equus in November 1992, Mr. Hale served in an audit,
consulting and advisory capacity with a public accounting firm in
Houston, Texas.
Mr. Hale is co-founder and Executive Chairman
of ConGlobal Industries, Inc. (“ConGlobal”). ConGlobal was formed
in September 2004 to facilitate the merger of Container-Care International,
Inc. (“Container-Care”) and Global Intermodal Systems, Inc. Prior
to the merger, Mr. Hale served as the President and Chief Executive
Officer of Container-Care. ConGlobal operates 23 intermodal facilities
throughout the United States, Mexico and Costa Rica servicing the
international trade, logistics and transportation industries. ConGlobal
is the largest company of its type in the world. In addition, Mr.
Hale has served as a Director for several public and private corporations
and is currently a Director and Chairman of the Audit Committee
of Englobal Corporation (NASDAQ Symbol: ENG), a publicly traded
contract engineering company serving the oil, gas and petrochemical
industries.
Mr. Hale is the past President and Director of
the Houston Private Equity Association and is an active member of
the Association for Corporate Growth. Mr. Hale has also served as
a Director of several charitable organizations in Houston and continues
to serve as a Director and Executive Committee Member of Boys &
Girls Country of Houston and Chairman of the Boys & Girls Country
Endowment Fund. Mr. Hale received a BBA in Business Administration
from Texas A&M University in 1985 and is a certified public
accountant.

James P. Wilson MANAGING DIRECTOR
Mr. Wilson joined Rock Hill Capital Group in September 2009
and serves as a Managing Director. Mr. Wilson assists in managing
all aspects of the investment activities of the Fund including fund
raising, deal sourcing and investment management of portfolio companies.
Mr. Wilson functions as a liaison helping to manage relationships
with our current and future investment partners.
Prior to
joining Rock Hill, Mr. Wilson was a founder and Managing Partner
of RSTW Partners (“RSTW”) a Houston, Texas based mezzanine debt
and private equity firm. Founded in 1989, RSTW invested in 55 operating
companies over a period of 15 years. The RSTW investments covered
a wide variety of industries in the manufacturing, distribution
and service sectors. RSTW raised a series of three institutional
mezzanine funds totaling $875 million in committed capital. Mr.
Wilson has been a member of the board of directors of over twenty
operating companies, including, among others; 24 Hour Fitness, Inc.,
Student Transportation of America, Inc., Supply ONE Packaging, Inc.
and Restaurants Unlimited, Inc. Prior to founding RSTW, he was a
Vice President with First Texas Merchant Banking Group, a subordinated
debt lender. Mr. Wilson began his career with the international
accounting firm Arthur Young (now Ernst & Young) as an auditor,
focusing on the manufacturing and financial institution sectors.
Mr. Wilson currently serves on the Board of Regents of the
Texas A&M University System. He was appointed by Governor Rick Perry
in June of 2007. He served as Vice-Chairman of the Board of Regents
from March of 2009 to March of 2011. Mr. Wilson was appointed to
the Board of Directors of the University of Texas Investment Management
Company (UTIMCO) in March 2011. Mr. Wilson is a member of the Board
for Lease of University Lands. Mr. Wilson is a past Chair of the
Board of Trustees of the 12th Man Foundation and is a member of
the Mays Business School Development Council. He also served as
a member of the board of directors of the Texas Growth Fund from
2007 through 2009.
Mr. Wilson received a BBA in Business
Administration from Texas A&M University in 1981 and is a certified
public accountant.

Jeffery S. Christman MANAGING DIRECTOR
Mr. Christman is a Director of Rock Hill Capital Group and assists
in managing all aspects of the investment activities of the Fund
including, deal sourcing and investment management of portfolio
companies.
Prior to joining Rock Hill, Mr. Christman served
as the Chief Financial Officer of TRE Financial Services, LLC ("TRE")
for five years. During his tenure at TRE, Mr. Christman was responsible
for all finance and treasury activities which included annual refinancing
of the company’s senior debt, redemption of the outstanding preferred
stock, an acquisition of an Atlanta-based software company and negotiations
and restructuring of the company’s mezzanine debt. Most recently,
Mr. Christman guided the company through negotiations with several
interested strategic buyers before presiding over the company’s
ultimate sale/leveraged recapitalization with a local private equity
firm.
Before joining TRE, Mr. Christman served as the Chief
Financial Officer of American Trenchless, a venture capital sponsored
utility construction company based in Houston, and before that he
served as Chief Financial Officer of Genesis Park LP, a Houston-based
venture capital firm. For almost four years Mr. Christman served
as Chief Financial Officer of Advantage Outdoor Company that was
sold to Lamar Outdoor (NASDAQ: LAMR) in May 2000. Advantage was
a successful private equity sponsored “Buy and Build” consolidation
of billboard properties in the Southwest. Mr. Christman negotiated
and closed over 50 acquisitions and managed a $100 million syndicated
credit facility. He also worked for Sysco Corporation (NYSE: SYY)
for eight years as a Chief Financial Officer of two of its operating
divisions with revenue of $250M and $350M respectively.
Mr.
Christman received a B.B.A. in Business Administration from Iowa
State University in 1986 and is a licensed Certified Public Accountant
in the State of Texas.

Ryan W. Shelton ASSOCIATE
Mr. Ryan Shelton is an Associate of Rock Hill and assists in
investment opportunity evaluation and portfolio management.
Prior to joining Rock Hill, Mr. Shelton served as an Assistant
Vice-President in the Middle Market Commercial Lending Group at
Amegy Bank N.A. While at Amegy, Mr. Shelton managed a loan portfolio
in excess of $50,000,000 with customers in the oilfield services,
distribution, and healthcare industries. The loan portfolio included
a mix of working capital lines of credit, equipment term loans,
and owner occupied real estate term loans. Mr. Shelton’s duties
included arranging appropriate capital structures, underwriting
new credit requests, regular review of customer performance and
monitoring of financial covenant requirements, preparation of loan
packages, presentation of loan packages to executive committee for
approval, and legal document negotiation and execution.
Mr.
Shelton received a B.B.A in Finance / General Business and a B.S.
in Agricultural & Applied Economics from Texas Tech University
in 2003.

Rachel J. Hanse CONTROLLER
Rachel Hanse is controller for Rock Hill Capital Group. She
is responsible for overseeing the accounting and financial reporting
for Rock Hill and assists with portfolio management.
Prior
to joining Rock Hill, Mrs. Hanse was an Audit Senior Manager with
PricewaterhouseCoopers LLP, where she spent the majority of her
auditing career focusing on financial service institutions. Additionally,
Mrs. Hanse spent three years working for PwC’s national office,
where she monitored accounting standard setters and worked in PwC’s
thought leadership group. She has over 15 years of accounting experience.
Mrs. Hanse received a BBA in Business Administration from
Texas A&M University in 1995 and is a certified public accountant.

Stacey G. Wells EXECUTIVE ADMINISTRATOR
Stacey Golden Wells is the Executive Administrator. Mrs. Wells
has over eighteen years experience in office management, marketing
and accounting. Prior to joining Rock Hill she ran her own successful
business and has worked in the banking, oil and gas and public accounting
industries. She is actively involved with charitable organizations
in the Houston area.
